This Contractual Member Agreement ("Agreement") is made and entered into as of the date of its signing by and between Butterfly House, a private ecclesiastic research society ("Society"), and the undersigned individual ("Member"). The Society and Member may be individually referred to as a "Party" and collectively as the "Parties."
By signing this Agreement, Member: (i) Accepts the offer to become a member of the Society; (ii) Agrees to pay applicable membership fees as determined by the Society's Board of Trustees; (iii) Confirms having read and agreed to the Society's Declaration of Purpose (Article 2 of the Society Articles of Association) and the Covenant of Silence (Section 14 of the Society Bylaws); and (iv) Acknowledges the exercise of the following fundamental rights: (a) Freedom of association; (b) Freedom of speech; (c) Religious freedom; and (d) Right to privacy.
The Parties acknowledge and agree that the activities of the Society are conducted solely within a private domain and are not intended for the public domain.
1.1 Change of Status. By signing this Agreement, you acknowledge that you are voluntarily changing your legal status within the context of this Society from a public person to a private individual.
1.2 Age of Consent. You must be at least 18 years old to enter into this Agreement.
1.3 Accurate Information. You represent that the information provided to the Society is accurate and complete.
1.4 Dispute Resolution. You agree that any disputes will be resolved through the Society's Private Ecclesiastic Arbitration Committee.
1.5 Voluntary Agreement. You acknowledge entering into this Agreement freely and without coercion.
2.1 Private Domain. The Society declares that it operates exclusively within a private domain.
2.2 Inclusivity. The Society accepts members regardless of race, color, gender, or nationality.
3.1 All contributions made to the Society through membership or participation will be considered voluntary donations. These donations are non-refundable unless the Society determines a valid reason for a refund.
4.1 The Society will not be liable for any costs or damages except in cases of direct negligence.
4.2 The Society may terminate your membership at any time if your conduct is contrary to the Society's principles.
4.3 If any provision is deemed invalid, the remaining provisions shall remain in effect.
4.4–4.6 Internal conflicts must be addressed through the SPEAC before involving other legal bodies. Disputes must be resolved exclusively through the SPEAC. No waiver of any breach shall constitute a waiver of any other breach.
4.7 This Agreement constitutes a binding contract.
4.8 The authority of the Society as a Private Ecclesiastic Society is inviolable.
4.9 Information provided through the Society's platforms is for educational and research purposes only.
4.10–4.12 The Society is not liable for third-party actions. Individuals attempting fraud may be subject to fines. All Parties have carefully reviewed this Agreement.
5.1 You agree to be bound by non-disclosure, non-competition, and non-solicitation terms.
5.2 Activities within the Society are considered private contractual matters.
5.3–5.9 The Society has full ownership of sensitive information. Without prior written approval, you will not disclose the existence of this Agreement. All business conducted within the Society must be kept confidential.
6.1 You are entering into this Agreement freely and without coercion.
6.2 You represent that you are not an employee or agent of any regulatory or enforcement agency.
6.3 You have read and understand this Agreement.
6.4 Your participation may be terminated for abusive or threatening behavior.
6.5 You have entered into a binding Private Ecclesiastic Contractual Agreement.
You agree to indemnify and hold harmless the Society from any losses arising from breach of your representations. Neither Party shall be liable for delays caused by events beyond their reasonable control.
This Agreement shall be governed by the Society's internal rules. This Agreement constitutes the entire agreement between the Parties. If any provision is deemed unenforceable, the remaining provisions remain valid. The Society reserves the right to amend this Agreement.
13.1 Mission Statement. To provide members with private communication, education, information, support, and a platform for social and business interactions.
13.2 Statement of Rights. The Society supports members' rights to religious freedom, freedom of assembly, freedom of speech, and the right to seek information.
13.3–13.6 The Society encourages internal dispute resolution. Members agree not to intentionally cause harm to others.
Services provided by members are not intended to replace licensed healthcare, legal, or tax advice. You are responsible for researching and evaluating advice offered by other members. You agree not to hold the Society liable for unintentional harm.
You agree to resolve complaints through the Society's internal committees. You agree not to seek legal remedies in external courts except in cases of malicious intent. The Society will maintain the privacy of membership records.
You are entering into a private membership contract. You acknowledge that you voluntarily changed your legal status. You accept full responsibility for your decisions regarding healthcare. The Society does not guarantee any particular outcome. You agree to pay a One-Time Membership Fee. You may terminate your membership at any time.
You declare you are joining of your own free will. You represent that you are not affiliated with any enforcement agencies. You confirm that you have read and understood this MOU.
